Terms of Service

These terms govern use of the HelixGate platform and helixgate.io. Master Services Agreements (MSAs) for enterprise customers may modify or replace specific clauses — the MSA prevails where it does.

1. Definitions

“HelixGate”, “we”, “us” means HelixGate Technologies Limited. “Customer”, “you” means the entity entering into a subscription. “Platform” means the HelixGate enterprise governance software-as-a-service. “Tenant” means the dedicated environment provisioned for a Customer. “Authorised User” means an individual you authorise to use the Platform.

2. Subscription

Subscriptions are per Tenant, billed monthly on 30-day terms, with a commitment period (monthly, 12-month, or 36-month) chosen at sign-up. The commitment period determines your rate. At the end of the commitment, the subscription continues at the same rate on a rolling monthly basis unless renewed for another commitment.

3. Customer responsibilities

You are responsible for the lawful use of the Platform and for the data you upload. You must keep credentials secure, maintain MFA where enforced, and revoke access promptly when an Authorised User leaves your organisation. You must not attempt to bypass platform security controls (including the audit trail immutability mechanism) or use the Platform to violate applicable law.

4. Our responsibilities

We will provide the Platform as described, with the security controls described on our security page. We will host UK customer data in UK regions by default. We will provide commercially reasonable support per your tier. Critical security advisories will be communicated promptly.

5. Service levels

Targets vary by tier: Starter aims at 99.5% monthly availability with email support; Business aims at 99.7% with 4-hour priority response; Enterprise customers receive a contractual 99.9% SLA with credits and a dedicated incident response process. Specific targets for Enterprise are set in the MSA.

6. Data and processing

We process personal data uploaded by you under our Data Processing Agreement (Enterprise tier: included; other tiers: available on request). See our privacy policy. Customer data remains your property. We don’t use customer data for training AI models or for any purpose other than delivering the Platform.

7. Intellectual property

HelixGate retains all rights, title, and interest in the Platform. You retain all rights, title, and interest in customer data. We do not claim ownership of any content you upload. Feedback you provide may be used to improve the Platform without obligation to compensate you.

8. Confidentiality

Each party shall protect the other’s confidential information with the same care it uses for its own (and not less than reasonable care). Customer data is confidential information.

9. Termination

Either party may terminate for material breach not cured within 30 days of written notice. On termination we provide a 30-day data export window before customer data is deleted. Sums paid for periods after termination are not refunded except where termination is for our material breach.

10. Limitation of liability

Subject to applicable law, our total aggregate liability under these terms is capped at the amount paid by the customer in the 12 months preceding the event giving rise to liability. Neither party is liable for indirect, consequential, or special losses. Nothing in these terms limits liability that cannot lawfully be limited (including death or personal injury caused by negligence, or fraud).

11. Governing law

These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute, except either party may seek injunctive relief in any competent jurisdiction to protect intellectual property or confidential information.

12. Changes

We may update these terms; the “last updated” date reflects when. Material changes are notified to active customers by email at least 30 days in advance.
